The Senior Manager, Executive Compensation will be a key member of our Total Rewards Team, responsible for designing, implementing, and managing all aspects of the company's executive compensation programs. This role will report directly to the VP, Compensation and will partner with senior leadership and the Compensation Committee to ensure our programs are competitive, compliant, and aligned with our business strategy. The ideal candidate is a strategic thinker with a deep understanding of executive pay trends, regulations, and best practices in private and public-company environments.

Key Responsibilities

  • Program Design and Management: Lead the design, development, and administration of executive compensation programs, including base salary, annual incentive plans, and long-term incentive (LTI) equity programs.
  • Compensation Committee Support: Prepare materials, analysis, and presentations for the Compensation Committee of the Board of Directors. Serve as a primary point of contact for external consultants.
  • Market Analysis and Benchmarking: Conduct regular market analysis and benchmarking studies to ensure our executive pay programs are competitive and aligned with industry trends.
  • Regulatory Compliance: Ensure all executive compensation programs comply with federal regulations, including SEC rules (e.g., proxy disclosure requirements), IRS regulations, and other governance guidelines.
  • Equity Plan Administration: Manage the company's equity plans, including grant cycles, vesting schedules, and participant communications.
  • Communication and Education: Develop and deliver clear and effective communications and strategies to executives and senior leaders regarding compensation programs and policies.
  • Project Management: Lead or participate in special projects related to compensation, mergers and acquisitions, or organizational changes.

Qualifications

  • Education: A Bachelor’s degree in Business, Finance, Economics, Human Resources, or a related field is required. A Master's degree (e.g., MBA) is strongly preferred.
  • Experience: A minimum of 5-7 years of progressive experience in compensation, with at least 3 years focused on executive compensation for a large, multi-location organization.
  • Skills and Expertise:
    • Deep knowledge of executive compensation practices, including short-term and long-term incentive plan design and equity administration.
    • Expertise in regulatory compliance (SEC, IRS) and corporate governance best practices.
    • Exceptional analytical skills and strong proficiency with financial modeling and data analysis.
    • Excellent communication and presentation skills with the ability to articulate complex concepts clearly to senior leaders and board members.
    • Certifications: Certified Compensation Professional (CCP) or Certified Equity Professional (CEP) is a plus.
    • Expertise in equity administration within Morgan Stanley Shareworks is a plus.
